This Acceptable Use Policy (Policy) sets out the standards of conduct that apply to all users of the Tradioo platform, including the Tradioo mobile application and any associated web interfaces (together, the Platform). This Policy forms part of and is incorporated into Tradioo's Terms of Service. Defined terms used but not defined in this Policy have the meaning given to them in the Terms of Service.
By creating an Account or using the Platform, you agree to comply with this Policy. Tradioo may update this Policy at any time. Continued use of the Platform following notification of an update constitutes your acceptance of the revised Policy.
PURPOSE AND SCOPE
1.1Tradioo provides a SaaS platform to support Australian tradespeople, trade businesses, contractors, and subcontractors in managing their business operations, including job management, quoting, invoicing, AI receipt scanning, team management, and expense tracking.
1.2This Policy applies to:
(a)all registered users of the Platform (including account owners, administrators, and team members);
(b)any person who accesses the Platform through a shared or team account; and
(c)any use of the Platform by or on behalf of a business entity.
1.3Users are responsible for ensuring that all persons who access the Platform through their Account comply with this Policy.
PROHIBITED USES
2.1Unlawful Activity. You must not use the Platform to engage in, facilitate, or promote any activity that is unlawful under any applicable Australian or international law or regulation, including but not limited to:
(a)engaging in activity that constitutes a criminal offence;
(b)breaching any court order, injunction, or judgment;
(c)violating any applicable licence, permit, or regulatory requirement governing your trade or profession; or
(d)facilitating or participating in money laundering, tax evasion, or any activity that is prohibited by applicable law.
2.2Fraud and Financial Crime. You must not use the Platform to:
(a)engage in any form of fraud, including identity fraud, invoice fraud, or payment fraud;
(b)misrepresent your identity, qualifications, or the nature of goods or services provided;
(c)create, submit, or process fraudulent invoices, quotes, receipts, or expense records;
(d)obtain money, property, or services by false pretences;
(e)engage in any form of financial crime, including bribery, corruption, or proceeds of crime laundering; or
(f)manipulate or falsify financial records, including records generated or stored on the Platform.
2.3Spam and Unsolicited Communications. You must not use the Platform to:
(a)send unsolicited commercial electronic messages (spam) in breach of the Spam Act 2003 (Cth);
(b)send bulk, automated, or repetitive messages to clients, subcontractors, or other users without their consent;
(c)harvest or collect contact information or other data from the Platform for the purpose of sending unsolicited communications; or
(d)use the Platform's communication features to send messages that are irrelevant, excessive, or outside the scope of a legitimate business purpose.
2.4Harassment, Abuse, or Threatening Conduct. You must not use the Platform to:
(a)harass, bully, intimidate, threaten, or abuse any person, including clients, subcontractors, employees, or Tradioo staff;
(b)send or store any communication that is threatening, offensive, or designed to cause distress;
(c)engage in conduct that would constitute workplace harassment, discrimination, or bullying under applicable Australian law; or
(d)take any retaliatory action against any person who reports conduct in breach of this Policy.
2.5Deceptive or Misleading Conduct. You must not use the Platform to:
(a)engage in conduct that is misleading or deceptive, or that is likely to mislead or deceive any person, in breach of the Australian Consumer Law or any other applicable law;
(b)make false or misleading representations about your qualifications, licences, insurance, or the services you provide;
(c)create false reviews, testimonials, or records to deceive clients, subcontractors, or third parties; or
(d)misrepresent your subscription tier, entitlements, or authority to use the Platform.
2.6Intellectual Property Infringement. You must not use the Platform to:
(a)upload, store, or transmit any Content that infringes the intellectual property rights of any third party, including copyright, trade marks, patents, design rights, or confidential information;
(b)use any third-party software, content, or data on the Platform in a manner that breaches the applicable licence terms; or
(c)reproduce, distribute, or publicly display any material that is protected by intellectual property rights without the appropriate authority or licence.
2.7Scraping, Crawling, and Automated Access. You must not:
(a)use any robot, spider, crawler, scraper, or other automated means to access, index, or extract data from the Platform;
(b)use automated scripts or tools to interact with the Platform in a manner not authorised by Tradioo;
(c)attempt to access the Platform's APIs, databases, or back-end systems except through interfaces expressly provided by Tradioo; or
(d)aggregate, copy, or republish data obtained from the Platform for any commercial purpose.
2.8Reverse Engineering and Source Code Access. You must not:
(a)reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, trade secrets, or underlying structure of the Platform or any component of it;
(b)attempt to access or extract the Platform's software code, proprietary data structures, or security mechanisms; or
(c)create or use any tools designed to circumvent technical protection measures used by Tradioo.
2.9Unauthorised Access and Security Interference. You must not:
(a)attempt to gain unauthorised access to any part of the Platform, including other users' accounts, Tradioo's systems, databases, or infrastructure;
(b)test, probe, scan, or penetration-test the Platform's security without Tradioo's prior written consent;
(c)interfere with, disrupt, or overload the Platform or its underlying infrastructure, including by launching denial-of-service attacks or flooding servers with excessive requests;
(d)exploit any bug, vulnerability, or security flaw in the Platform for any purpose other than reporting it to Tradioo through responsible disclosure; or
(e)intercept or monitor data transmissions on the Platform without authorisation.
2.10Malware and Harmful Code. You must not upload, transmit, or store on the Platform any:
(a)viruses, worms, Trojan horses, ransomware, or other malicious code;
(b)software designed to damage, corrupt, intercept, or gain unauthorised access to any system or data;
(c)code designed to disable, overload, or degrade the performance of the Platform; or
(d)content that contains or activates harmful scripts or exploits.
2.11Impersonation. You must not:
(a)impersonate any person, including another user, a Tradioo employee, a client, or a public official;
(b)create an account or user profile in another person's name without their consent;
(c)falsely represent an affiliation with, or authorisation from, any organisation; or
(d)use the Platform to conceal your identity for the purpose of engaging in deceptive or unlawful conduct.
2.12Misuse of Client and Subcontractor Information. You must not:
(a)use client or subcontractor contact details, financial information, or other data obtained through the Platform for purposes other than legitimate business operations authorised by those parties;
(b)sell, trade, or commercially exploit client or subcontractor information obtained through the Platform;
(c)share client or subcontractor information with third parties in breach of applicable privacy laws or contractual obligations; or
(d)use the Platform to aggregate or build databases of third-party information for commercial exploitation.
2.13Generating False Records. You must not use the Platform to:
(a)create, submit, or store false, fraudulent, or backdated invoices, quotes, receipts, expense claims, or job records;
(b)manipulate or alter records for the purpose of deceiving any person, including clients, the Australian Taxation Office, or any regulatory authority;
(c)create records that misrepresent the value, nature, or timing of any transaction; or
(d)use the Platform's AI or automation features to generate or process documentation that you know to be false or misleading.
2.14Unlawful or Offensive Content. You must not upload, store, transmit, or display through the Platform any Content that:
(a)is defamatory, obscene, pornographic, or excessively violent;
(b)vilifies or incites discrimination against any person or group on the basis of race, religion, gender, sexual orientation, disability, or other protected attribute;
(c)breaches any applicable classification or censorship law;
(d)constitutes hate speech; or
(e)is otherwise unlawful or likely to expose Tradioo or any third party to legal liability.
2.15Breaching Applicable Laws Through the Platform. You must not use the Platform in a manner that facilitates or constitutes a breach of:
(a)the Privacy Act 1988 (Cth) or the Australian Privacy Principles, including by collecting or handling personal information in an unauthorised manner;
(b)the A New Tax System (Goods and Services Tax) Act 1999 (Cth) or other applicable tax legislation;
(c)the Fair Work Act 2009 (Cth) or any applicable state employment legislation;
(d)the Australian Consumer Law (including by making false or misleading representations); or
(e)any other applicable law, regulation, or code of conduct.
2.16Account Sharing and Credential Misuse. You must not:
(a)share your Account credentials with any person not authorised under your applicable Subscription tier;
(b)allow multiple individuals to use a single-user Account simultaneously or sequentially as if it were a shared account;
(c)acquire, use, or attempt to use another person's Account credentials without authorisation; or
(d)create multiple accounts to circumvent usage limits, feature restrictions, or enforcement actions taken by Tradioo.
2.17Using the Platform to Compete with Tradioo. You must not:
(a)use the Platform, or any data, information, or features obtained through the Platform, to build, develop, or enhance a competing product or service;
(b)benchmark the Platform for the purpose of commercially exploiting the results in connection with a competing product;
(c)systematically extract, copy, or replicate features, workflows, user interface elements, or functionality of the Platform for the purpose of reproducing or competing with it; or
(d)use your access to the Platform to solicit or recruit Tradioo's customers, employees, or contractors for a competing business.
MONITORING AND ENFORCEMENT
3.1Tradioo reserves the right, but does not assume the obligation, to monitor use of the Platform to ensure compliance with this Policy, the Terms of Service, and applicable law.
3.2Tradioo may, at its discretion and without prior notice, review, flag, or investigate any Content, activity, or usage pattern that it reasonably suspects may breach this Policy or any applicable law.
3.3Tradioo may use automated tools, algorithms, or manual review processes to detect Policy breaches. You acknowledge that automated detection may not be perfect and agree to cooperate with any investigation.
3.4Tradioo's monitoring activities do not constitute an assumption of responsibility for policing all Content on the Platform. Tradioo is not obligated to review all Content uploaded by users
SUSPENSION AND TERMINATION
4.1If Tradioo reasonably suspects or determines that you have breached this Policy, Tradioo may, without limiting any other rights or remedies:
(a)issue a written warning;
(b)suspend your Account or access to all or part of the Platform, with or without notice, pending investigation;
(c)permanently terminate your Account and your right to use the Platform;
(d)remove or disable access to any Content that is in breach of this Policy;
(e)restrict certain features or functionality of your Account; or
(f)take any combination of the above measures.
4.2Tradioo will endeavour to give you prior notice of any suspension or termination where it is safe and practical to do so. However, Tradioo may act without notice where:
(a)doing so is necessary to protect the integrity, security, or availability of the Platform;
(b)there is evidence of ongoing or imminent harm; or
(c)Tradioo is required to act by law or by a regulatory or law enforcement authority.
4.3Any termination of your Account will not affect Tradioo's rights against you in respect of conduct that occurred before termination, and all provisions of this Policy that by their nature should survive termination will continue to apply.
REPORTING TO LAW ENFORCEMENT
5.1Tradioo reserves the right to report any conduct that it reasonably believes constitutes a criminal offence, fraud, or a serious breach of applicable law to the relevant law enforcement authority, regulatory body, or government agency, including but not limited to the Australian Federal Police, the Australian Transaction Reports and Analysis Centre (AUSTRAC), the Australian Competition and Consumer Commission (ACCC), or the Office of the Australian Information Commissioner (OAIC).
5.2Tradioo may, without notice to you, disclose your identity, Account information, Content, and usage data to law enforcement or regulatory authorities to the extent required or permitted by law.
5.3Tradioo will cooperate fully with any lawful investigation, court order, or regulatory inquiry relating to your use of the Platform.
USER COOPERATION OBLIGATIONS
6.1If Tradioo notifies you that it is investigating a suspected breach of this Policy, you must:
(a)cooperate fully and promptly with Tradioo's investigation;
(b)preserve and provide access to any relevant records, data, or documentation held by you; and
(c)refrain from deleting, altering, or concealing any relevant information.
6.2You must promptly notify Tradioo if you become aware of any breach or suspected breach of this Policy by any person, including by another user of the Platform or by a third party acting in connection with the Platform.
6.3Failure to cooperate with an investigation may itself constitute a breach of this Policy and may result in suspension or termination of your Account.
CONSEQUENCES OF BREACH
7.1A breach of this Policy may result in one or more of the following consequences:
(a)suspension or termination of your Account in accordance with clause 4;
(b)referral of the matter to law enforcement or regulatory authorities in accordance with clause 5;
(c)legal proceedings by Tradioo against you to recover losses suffered as a result of your breach, including legal costs;
(d)a claim for injunctive relief where Tradioo suffers or is threatened with irreparable harm; or
(e)any other remedy available at law or in equity.
7.2You agree to indemnify and hold harmless Tradioo Pty Ltd, its officers, directors, employees, and agents from and against any claim, liability, loss, cost, or expense (including reasonable legal fees) arising out of or in connection with your breach of this Policy.
7.3Tradioo's rights under this clause are in addition to, and do not limit, any other rights or remedies available to it under the Terms of Service, this Policy, or applicable law.
REPORTING MECHANISM
8.1If you become aware of any conduct on the Platform that you believe breaches this Policy or is unlawful, you may report it to Tradioo using the following contact details:

8.2When making a report, please provide as much detail as possible, including the nature of the concern, the date and time the conduct occurred, the username or Account details of the person involved (if known), and any supporting evidence.
8.3Tradioo will acknowledge receipt of all reports and will investigate complaints in a timely manner. The outcome of any investigation will be communicated to you where appropriate, subject to Tradioo's confidentiality obligations to other users.
8.4Tradioo will not penalise any user who makes a good faith report of a suspected breach of this Policy. False or vexatious reports made in bad faith may themselves constitute a breach of this Policy.
CONSEQUENCES OF BREACH
7.1A breach of this Policy may result in one or more of the following consequences:
(a)suspension or termination of your Account in accordance with clause 4;
(b)referral of the matter to law enforcement or regulatory authorities in accordance with clause 5;
(c)legal proceedings by Tradioo against you to recover losses suffered as a result of your breach, including legal costs;
(d)a claim for injunctive relief where Tradioo suffers or is threatened with irreparable harm; or
(e)any other remedy available at law or in equity.
7.2You agree to indemnify and hold harmless Tradioo, its officers, directors, employees, and agents from and against any claim, liability, loss, cost, or expense (including reasonable legal fees) arising out of or in connection with your breach of this Policy.
7.3Tradioo's rights under this clause are in addition to, and do not limit, any other rights or remedies available to it under the Terms of Service, this Policy, or applicable law.
GOVERNING LAW
9.1This Policy is governed by the laws of the State of Victoria, Australia. Any dispute arising in connection with this Policy will be subject to the jurisdiction of the courts of Victoria, Australia.
