IMPORTANT - PLEASE READ THIS END USER LICENCE AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE TRADIOO APPLICATION. BY TAPPING "AGREE", DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE APP.
PARTIES AND DEFINITIONS
1.1 This End User Licence Agreement (Agreement) is between:
(a)Tradioo (ABN 94488972866) of Victoria, Australia (Tradioo, we, us, our); and
(b)You — the individual or entity who downloads, installs, or uses the App (you, User).
1.2 In this Agreement:
App means the Tradioo mobile software application, including all updates, upgrades, and new versions made available by Tradioo from time to time.
Apple means Apple Inc. of One Apple Park Way, Cupertino, California, USA.
App Store means the Apple App Store from which the App is distributed.
App Store Rules means Apple's App Store Review Guidelines, Media Services Terms and Conditions, and any other applicable Apple policies.
Content means any data, text, images, documents, or other material you upload, submit, or transmit through the App.
Device means the Apple-branded iOS device on which you use the App.
Services means the cloud-based SaaS services provided by Tradioo in connection with the App, including job management, quoting, invoicing, AI receipt scanning, team management, and expense tracking features.
Subscription means a paid or free-tier subscription to the Services obtained through the App Store or otherwise.
Terms of Service means Tradioo's Terms of Service available at [tradiooapp.com.au/terms], which govern your use of the Services generally.
LICENCE GRANT
2.1 Subject to your compliance with this Agreement and any applicable Subscription terms, Tradioo grants you a limited, non-exclusive, non-transferable, revocable, personal licence to:
(a) download and install the App on any Apple-branded iOS Device that you own or control; and
(b) use the App solely for your own internal business purposes in connection with the Services.
2.2 This licence does not include any right to:
(a) use the App on any device not owned or controlled by you;
(b) make the App available to any third party;
(c) use the App for any purpose not expressly permitted by this Agreement; or
(d) use the App for commercial distribution, resale, or sub-licensing.
2.3 The licence granted under clause 2.1 is conditional at all times on your compliance with this Agreement, the Terms of Service, and the App Store Rules.
2.4 Tradioo reserves all rights in the App not expressly granted to you under this Agreement.
PERMITTED USE
3.1 You may use the App solely:
(a) for your own legitimate internal business operations as a tradie, trade business operator, contractor, or subcontractor;
(b) in accordance with all applicable Australian laws and regulations, including but not limited to the Australian Consumer Law, the Privacy Act 1988 (Cth), and applicable tax laws;
(c) in accordance with the App Store Rules; and
(d) in accordance with the Terms of Service and any other policies published by Tradioo from time to time.
3.2 Where you are using the App on behalf of a business entity, you represent and warrant that you have authority to bind that entity to this Agreement and that entity agrees to be bound by all terms of this Agreement.
3.3 You are responsible for ensuring that all persons who access or use the App through your account or credentials comply with this Agreement.
RESTRICTIONS
4.1 You must not, and must not permit any third party to:
(a) copy, reproduce, modify, translate, adapt, or create derivative works of the App or any part of it;
(b) reverse engineer, disassemble, decompile, or attempt to derive the source code of the App;
(c) remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on or in the App;
(d) sublicence, sell, resell, transfer, assign, or otherwise dispose of the App or your rights under this Agreement to any third party;
(e) use the App to build a competing product or service, or copy its features, functionality, or user interface;
(f) rent, lease, lend, or provide access to the App to any third party on a commercial basis;
(g) use any automated means, including scripts, bots, crawlers, or scraping tools, to access, extract data from, or interact with the App;
(h) use the App in a way that exceeds the usage parameters set out in your applicable Subscription tier;
(i) circumvent, disable, or interfere with any security features, access controls, or usage monitoring mechanisms within the App;
(j) use the App to transmit any malware, viruses, Trojan horses, or other harmful or malicious code; or
(k) use the App in any manner that violates any applicable law, regulation, or third-party rights.
4.2 Nothing in this clause limits any rights you may have under the Copyright Act 1968 (Cth) that cannot be excluded by agreement.
ACCOUNT AND DEVICE LIMITATIONS
5.1 To access most features of the App, you must create an account (Account). You are responsible for:
(a) maintaining the confidentiality of your Account credentials;
(b) all activity that occurs under your Account; and
(c) notifying Tradioo immediately at [support@tradiooapp.com.au] if you become aware of any unauthorised access to your Account.
5.2 The App is intended to be used on iOS Devices. Tradioo does not warrant or represent that the App will function on any particular Device or operating system version, and you are responsible for ensuring your Device meets the minimum system requirements published by Tradioo from time to time.
5.3 Account sharing and the use of a single Account by multiple individuals is not permitted unless expressly authorised under your Subscription tier (for example, through a Team or Business plan that expressly allows multiple seats). Credentials must not be shared with individuals outside your authorised Subscription.
5.4 You acknowledge that certain features of the App may require a paid Subscription. Access to paid features without a valid Subscription is not permitted.
UPDATES AND VERSIONS
6.1 Tradioo may from time to time release updates, patches, new versions, or modified versions of the App (Updates). Updates may be made available through the App Store and, depending on your Device settings, may be applied automatically.
6.2 This Agreement applies to all Updates and new versions of the App, unless a separate agreement is provided with the Update, in which case that separate agreement will govern.
6.3 You acknowledge that Tradioo is under no obligation to provide any particular Update or to maintain any particular version of the App. Tradioo may, in its sole discretion, discontinue support for older versions of the App.
6.4 Tradioo reserves the right to add, modify, or remove features of the App at any time with or without notice to you, provided that any material reduction in functionality of a paid feature will be notified to you with reasonable advance notice.
APP FUNCTIONALITY DEPENDENCIES
7.1 You acknowledge that the App requires:
(a) a stable internet connection to access and use most features of the Services;
(b) a valid Apple ID and compliance with Apple's terms and conditions for App Store access and in-app purchases;
(c) third-party services operated by Supabase, Inc. (database and backend infrastructure), Stripe, Inc. (payment processing), RevenueCat, Inc. (subscription management), PostHog, Inc. (product analytics), Sentry (error monitoring), and Google LLC (certain ancillary services) (together, Third-Party Services); and
(d) any other services or dependencies notified to you from time to time.
7.2 Tradioo does not warrant that the App or any Third-Party Services will be available at all times, uninterrupted, or error-free. Availability of the App may be affected by factors outside Tradioo's control, including your internet connection, your Device, Apple's infrastructure, and the availability of Third-Party Services.
7.3 Third-Party Services are subject to their own terms of service and privacy policies. By using the App, you acknowledge that your use of those services is governed by the relevant third-party terms. Tradioo is not responsible for the acts or omissions of any Third-Party Service provider.
7.4 Certain AI-powered features within the App (including AI receipt and invoice scanning and categorisation) are provided on a best-efforts basis. The accuracy and completeness of AI-generated outputs are not guaranteed. You are solely responsible for verifying the accuracy of any AI-generated output before relying on it for business, financial, tax, or legal purposes.
NO WARRANTY / AS-IS
8.1To the maximum extent permitted by law, the App is provided to you on an "as is" and "as available" basis, without any warranty of any kind. Tradioo expressly disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including but not limited to:
(a)implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
(b)any warranty that the App will meet your requirements or be fit for any particular purpose;
(c)any warranty that the App will be uninterrupted, timely, secure, or error-free; and
(d)any warranty as to the accuracy, reliability, or completeness of any output generated by the App, including AI-generated outputs.
8.2Nothing in this Agreement excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law (ACL) or any other applicable non-excludable law. Where the ACL applies, Tradioo's liability is limited, to the extent permitted by law, to re-supplying the relevant services or paying the cost of having the services re-supplied.
8.3You acknowledge that Apple gives no warranty of any kind with respect to the App and that Apple has no warranty obligation whatsoever with respect to the App.
SUPPORT AND MAINTENANCE
9.1 Tradioo is solely responsible for providing support and maintenance services for the App, if any, as set out in the Terms of Service and any applicable Subscription plan.
9.2 Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
9.3 If you have any queries, issues, or support requests relating to the App, please contact Tradioo at [support@tradiooapp.com.au] or through the support channels made available within the App. Do not contact Apple for App-related support.
9.4 Tradioo will use commercially reasonable endeavours to provide support in accordance with its then-current published support policies. Tradioo does not guarantee any particular response time or resolution outcome unless expressly stated in a written Service Level Agreement.
TERMINATION OF LICENCE
10.1 This Agreement and the licence granted to you under clause 2.1 are effective from the date you first download or install the App and will continue until terminated in accordance with this clause.
10.2 Tradioo may terminate this Agreement and your licence immediately, without notice, if:
(a) you breach any provision of this Agreement or the Terms of Service;
(b) you violate any applicable law or regulation in connection with your use of the App;
(c) you engage in fraudulent, abusive, or unlawful conduct in connection with the App;
(d) Tradioo is required to do so by law or by Apple; or
(e) Tradioo ceases to offer the App or the Services.
10.3 You may terminate this Agreement at any time by deleting the App from your Device and ceasing all use of it.
10.4 Upon termination of this Agreement for any reason:
(a) all licences granted to you under this Agreement immediately cease;
(b) you must delete the App from all Devices on which it is installed; and
(c) clauses that by their nature should survive termination will continue to apply, including clauses 4, 8, 12, 13, and 14.
10.5 Termination of this Agreement does not affect any rights Tradioo may have against you arising prior to termination, nor does it affect any accrued rights or remedies.
10.6 In the event of any third-party claim that the App infringes a third party's intellectual property rights, Tradioo (not Apple) will be solely responsible for the investigation, defence, settlement, and discharge of any such claim.
RELATIONSHIP WITH TERMS OF SERVICE
11.1This Agreement governs the terms on which the App software is licensed to you. Your use of the Services (including account registration, subscription billing, data processing, and the broader SaaS platform) is governed by the Terms of Service, which are incorporated into this Agreement by reference.
11.2In the event of any inconsistency between this Agreement and the Terms of Service, the Terms of Service will prevail to the extent of the inconsistency, unless this Agreement expressly states otherwise.
11.3You must comply with both this Agreement and the Terms of Service when using the App. A breach of either document will constitute a breach of the other.
APPLE-SPECIFIC PROVISIONS
12.1Acknowledgement of Apple's Role. You and Tradioo acknowledge that this Agreement is concluded between Tradioo and you only, and not with Apple. Apple is not a party to this Agreement and is not responsible for the App or its content.
12.2Scope of Licence. The licence granted to you in this Agreement is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in Apple's Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where applicable.
12.3Maintenance and Support. As between Apple and Tradioo, Tradioo is solely responsible for providing maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
12.4Warranty. As between Apple and Tradioo, Tradioo is solely responsible for any App warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Tradioo's sole responsibility.
12.5Product Claims. As between Apple and Tradioo, Tradioo is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
12.6Intellectual Property Claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, as between Apple and Tradioo, Tradioo will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim.
12.7Legal Compliance. You represent and warrant that (a) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country; and (b) you are not listed on any US Government list of prohibited or restricted parties.
12.8Third-Party Beneficiary. You and Tradioo acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
12.9App Store Rules. Your use of the App must comply with the App Store Rules, as amended by Apple from time to time.
12.10Contact for Complaints. Any end-user questions, complaints, or claims with respect to the App should be directed to Tradioo and not to Apple. Tradioo's contact details are set out in clause 14.
GOVERNING LAW AND DISPUTE RESOLUTION
13.1This Agreement is governed by and is to be construed in accordance with the laws of the State of Victoria, Australia.
13.2Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Victoria, Australia, and the courts of appeal from them, for determining any dispute concerning this Agreement.
13.3Nothing in this clause limits any rights you may have as a consumer under the Australian Consumer Law to commence proceedings in any other jurisdiction.

14.2 Tradioo will endeavour to respond to all legitimate enquiries within a reasonable time.
GENERAL
15.1 Entire Agreement. This Agreement, together with the Terms of Service and any applicable Subscription terms, constitutes the entire agreement between you and Tradioo with respect to the App and supersedes all prior and contemporaneous agreements, representations, and understandings relating to the same subject matter.
15.2 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if not capable of modification, severed from this Agreement. The remaining provisions will continue in full force and effect.
15.3 Waiver. No failure or delay by Tradioo in exercising any right under this Agreement will operate as a waiver of that right.
15.4 Assignment. Tradioo may assign its rights and obligations under this Agreement to any successor entity or in connection with a merger, acquisition, or sale of assets without your consent. You may not assign your rights under this Agreement without Tradioo's prior written consent.
15.5 Amendments. Tradioo reserves the right to update or amend this Agreement at any time. Updated versions will be made available through the App or at tradiooapp.com.au. Your continued use of the App after an amendment takes effect constitutes your acceptance of the amended Agreement.
